This letter of understanding outlines the terms and conditions governing the relationship between SoCal Digital Studio (hereinafter referred to as "the Instructor") and the registered student (hereinafter referred to as "the Student") with regard to the
Marketing Artificial Intelligence and Machine Learning Course.
1. Student-Teacher Relationship
The Instructor commits to providing a high-quality educational experience delivered by experienced instructors. However, this course does not guarantee employment, increased compensation, or an increase in clientele for the Student.
2. Course Structure and Commitment
The Student is expected to attend all scheduled classes and actively participate in the course activities. The Student is required to complete all course modules, assignments, and projects to the best of their ability.
3. Refund Policy
Refunds are not available if the Student has attended the first course session. In cases of hardship, where the Student must drop out of the course through no fault of their own, a pro-rata refund will be provided or the fees may be applied to a future course. Hardship cases will be evaluated on a case-by-case basis.
4. Contingent Liabilities
The Instructor shall not be held liable for any contingent liabilities that may arise during or after the completion of the course. This includes, but is not limited to, any claims related to employment outcomes, financial gains, or business performance resulting from the application of course materials.
5. Professional Conduct
Both the Instructor and the Student agree to maintain a professional and respectful environment throughout the duration of the course. The Instructor reserves the right to remove any Student from the course who exhibits unprofessional or disruptive behavior.
6. Intellectual Property
All course materials, including but not limited to lectures, presentations, and assignments, are the intellectual property of the Instructor. The Student agrees not to reproduce, distribute, or share these materials without prior written consent from the Instructor.
7. Data Privacy
The Instructor will collect and maintain the Student's personal information solely for the purposes of course administration and communication. The Instructor agrees to protect the Student's data in accordance with applicable data protection laws.
8. Course Modifications
The Instructor reserves the right to modify the course content, schedule, and instructors as deemed necessary to improve the course quality or in response to unforeseen circumstances. The Student will be notified of any significant changes in a timely manner.
9. Dispute Resolution
Any disputes arising from this agreement or the course shall be resolved amicably through mutual discussion. If a resolution cannot be reached, the dispute will be subject to mediation or arbitration as per the laws of California, United States.
10. Attendance and Participation
The Student is expected to attend all scheduled sessions. If the Student misses a session, it is their responsibility to catch up on the missed content. Recorded sessions may be provided at the Instructor's discretion.
11. Technical Requirements
The Student is responsible for ensuring they have the necessary technical equipment and internet access to participate in the online course. The Instructor is not responsible for any technical issues the Student may experience.
12. Code of Conduct
The Student agrees to adhere to the Instructor's code of conduct, which includes maintaining academic integrity, respecting fellow students and instructors, and not engaging in any form of harassment or misconduct.
13. Non-Disclosure Agreement (NDA)
The Student agrees not to disclose any proprietary or confidential information shared during the course. This includes, but is not limited to, business strategies, case studies, and other sensitive information.
14. Force Majeure
The Instructor shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, strikes, or other unforeseeable events.
15. Amendments
Any amendments to this letter of understanding must be made in writing and signed by both the Instructor and the Student.
16. Waiver
The failure of either party to enforce any provision of this agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this agreement.
17. Severability
If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.
18. Entire Agreement
This letter of understanding constitutes the entire agreement between the Instructor and the Student regarding the Marketing Artificial Intelligence and Machine Learning Course and supersedes any prior agreements or understandings, whether written or oral.
19. Acceptance of Terms
The Student acknowledges and agrees to the terms and conditions outlined in this document.
